Applications are invited for the post of Independent Director(s) on the Board of Directors of Kutch Railway Company Limited (KRC), a Joint Venture of Rail Vikas Nigam Limited, Government of Gujarat, Kandla Port Trust and Adani Port and SEZ Limited.
a) Experience
i) Person should fulfil the statutory requirements prescribed in the Companies Act, 2013 read with Schedule IV and relevant rules related to the appointment of Independent Directors.
ii) A person having relevant knowledge and expertise in the area of ü Taxation and project financing; or
ü Marketing, Strategy Planning and Business Development; or ü Managing the affairs of SPVs/ Companies/JVs on PPP mode concerned with the
following functions in Railway, i.e., Railway Planning and Construction, Financing,
Marketing and Commercial, and Operation & Maintenance etc.
iii) Since Corporate Social Responsibility is gaining importance, therefore, background on social activities and knowledge of Labour Laws, Human Resource and Corporate Governance will also be considered an added qualification.
iv) Retired Government officials who have served at Joint Secretary Level or above for atleast 10 years in any of the above fields; or
vi) Academicians/Directors of Institutes/Heads of Department and Professors having more than 10 years teaching or research experience in the relevant domain e.g. management, finance, marketing, technology, human resources, or law; or
vii) Former CEOs of private companies if the company is (a) listed on the Stock Exchanges or (b) unlisted but profit making and having an annual turnover of at least Rs. 500 crore.
b) Age – The age band should be between 55-70 years (minimum/maximum limit).
c) Sitting fee per meeting will be paid within the statutory limits of Company Law.
